Terms & Conditions

These Terms and Conditions govern the use of the memstudios.co website and the contractual relationship between Elise Michely (doing business as "MEM Studios") and any client ("the Client") using her services.

Article 2: Purpose

MEM Studios offers consulting services in brand strategy, art direction, photography, web design, and development. These terms aim to define the sales conditions for these services.

Article 3: Proposals and Orders

All services are subject to a detailed proposal, valid for one (1) month. The Client's acceptance of the proposal (by signature or written confirmation) constitutes a firm order and unreserved acceptance of these terms.

Article 4: Pricing and Payment Terms

Service prices are quoted in Euros (€). A non-refundable 30% deposit of the total amount is required to begin any project and to book the production slot. The final balance is due upon project completion, prior to the website going live or the transfer of final files.

Article 5: Client Responsibilities

The Client agrees to provide all necessary information and content (text, images, etc.) within the agreed-upon deadlines. Any delay or lack of information from the Client may lead to a postponement of the delivery date and/or additional costs. The Client is solely responsible for the accuracy and copyright of the content they provide.

Article 6: Intellectual Property

• Assignment of Rights: Upon full and final payment, MEM Studios assigns the ownership rights of the bespoke graphic designs (logo, brand identity, website design) to the Client.
• Photography: Unless otherwise agreed in writing, MEM Studios retains the copyright to the photographs produced. The Client is granted a usage license whose terms (duration, media, territory) are detailed in the contract.
• Right of Promotion: MEM Studios reserves the right to showcase the work created for the Client on its website and communication materials for promotional purposes.

Article 7: Limitation of Liability

MEM Studios cannot be held liable for damages resulting from the use of the Internet such as data loss, intrusion, viruses, or other unintentional issues. Regarding the services, the liability of MEM Studios shall, in any event, be limited to the amount of the order.

Article 8: Governing Law and Jurisdiction

These Terms and Conditions are governed by French law. In the event of a dispute, and after an attempt at an amicable resolution, exclusive jurisdiction is granted to the competent courts of Cayenne, French Guiana.
